1. Role of the Platform

Joryea is an intermediary marketplace connecting dealers in China with overseas buyers: the Platform provides listing display, search, inquiry matching and trade-safeguard tooling, and is itself not the seller, buyer, carrier, or customs broker of any vehicle. Contracts of sale are formed directly between you and the dealer (or buyer).

2. Accounts and buyer verification

• You must register with truthful and accurate information and are responsible for all activity under your account;
• The Platform is not an insurer against account theft on public networks but provides channels for reporting anomalous sign-ins;
• The Platform may request corporate documents or identity materials for tiered buyer verification as risk control requires; verification outcomes do not affect the applicability of these Terms.

3. Listing information and disclaimers

Listing content (condition, configuration, price, stock, images) is published by dealers, who are responsible for its truthfulness, accuracy and legality. The Platform performs formal review of published content (including credential checks and prohibited-content screening) and offers inspection, compliance and logistics services where available, but does not provide a substantive warranty on all listing information. You should verify vehicle condition before concluding a transaction through inquiries, inspection reports or third-party inspections.

4. Inquiries and orders

An inquiry is an expression of interest sent to a dealer and does not constitute an order or contractual commitment. Final pricing, payment terms, delivery schedules and acceptance criteria are governed by the transaction documents separately confirmed between you and the dealer.

5. Payment and funds

• The Platform never holds or pools transaction funds. Transaction payments are collected and disbursed exclusively through licensed third-party payment or escrow institutions;
• Settlement safeguards offered through the Platform (such as escrow) are subject to the rules of the licensed institution;
• Processing fees, exchange-rate differences and refund timelines arising from payment channels follow the published rules of the payment institutions.

6. Commission and fees

The Platform charges dealers a transaction commission as a percentage of the concluded transaction value (the applicable rate is set out in the service agreement between the dealer and the Platform). Buyers are not charged platform service fees for basic features (browsing, search, inquiries). Customs duties, VAT, destination charges, inspection and quarantine fees and freight arising from a transaction are borne by the trading parties as agreed between them.

7. Logistics and export compliance

• Exported vehicles must comply with Chinese export controls, customs supervision and destination-country entry requirements (emissions, type approval, right-hand-drive restrictions, etc.);
• You and the dealer are responsible for confirming import qualifications and compliance obligations in the destination country; compliance tooling and materials provided by the Platform are for reference only and do not constitute legal advice;
• Publishing or trading smuggled, stolen, scrapped/reassembled vehicles or sanctioned items through the Platform is prohibited.

8. Limitation of liability

To the maximum extent permitted by law, the Platform is not liable for vehicle quality, delivery delays, acts of third parties or indirect losses; the Platform's aggregate liability for a single transaction is capped at the commission actually received by the Platform for that transaction. The Platform is not liable for failure of performance caused by force majeure (natural disasters, war, government action, large-scale network failures, etc.).

9. Breach handling

For publishing false listings, fraud, money laundering or circumventing the Platform to trade off-platform, the Platform may issue warnings, delist content, restrict features or suspend accounts, and reserves the right to pursue legal liability and report to regulators.

10. Governing law and dispute resolution

These Terms are governed by the laws of the jurisdiction where the Platform operator is registered. Disputes arising from these Terms or the Platform services shall first be resolved through friendly consultation; failing that, either party may submit the dispute to the arbitration institution in the place of registration of the Platform operator under its arbitration rules in effect at the time, and the award is final. Invalidity of any provision does not affect the validity of the remaining provisions.

11. Changes to these Terms

The Platform may revise these Terms with advance notice on the site. Continued use of the Platform after the revision takes effect constitutes acceptance of the revised Terms.
